Terms of Service

Remôtkey provides software that creates turnover and maintenance tasks from reservations, records geofenced check-ins, checklists, photos and damage reports, generates invoices and arranges payouts to field team members. We may improve and change features over time; we will not materially reduce the core functionality of a paid plan during its term.

• Keep login details confidential and tell us promptly about any unauthorised use.
• You are responsible for activity under your account, including the office staff and field team members you invite.
• Provide accurate information and keep it up to date.

Remôtkey verifies work using the location of field team members' devices. As the customer, you agree to:

• Tell every field team member, before they start using the app, what is collected, when and why, and how long it is kept, as described in our Privacy Policy.
• Obtain any consent and give any notices that employment, contractor and privacy laws in your area require.
• Use location and job data only to manage and verify work, not to monitor people outside their work for you.
• Respond to requests from field team members about their information, with our help where needed.

Subscription fees

Fees for your plan are set out in your order form or on the pricing you accept. Unless stated otherwise, fees are billed in advance, are non-refundable and exclude taxes. [Confirm billing cycle, payment terms and late-payment policy.]

Payouts to field teams

Payouts to cleaners, technicians and other payees are processed by Stripe Connect. Payees must accept Stripe's Connected Account Agreement and complete Stripe's verification. Remôtkey is not a bank or money transmitter and does not hold customer funds. You are responsible for approving each payout and for the amounts you approve, including hourly pay, materials, profit share, commission and referral earnings.

You remain responsible for the employment or contractor status of the people you pay, and for any tax reporting that applies to them.

You own the data you and your users put into Remôtkey, including reservations, job records, photos and invoices ("Customer Data"). You grant us a limited licence to host, copy, process and display Customer Data only to provide, secure and support the service, and as required by law.

We may use aggregated, de-identified information about how the service is used to operate and improve Remôtkey. It will not identify you, your properties or any individual.

You can export your Customer Data at any time while your account is active and for [30] days after it ends.

You will not:

• Use Remôtkey to break any law or to track anyone without the notice and consent the law requires.
• Upload content you do not have the right to share, or content that is unlawful or harmful.
• Try to access accounts or data that are not yours, or disrupt the service.
• Copy, resell or reverse engineer the software, except where the law allows it.

Remôtkey connects to tools such as your property management system and Stripe. Your use of those tools is governed by their own terms, and we are not responsible for their availability or for data while it is held by them.

Each party will protect the other's confidential information with reasonable care and use it only for this agreement. This does not apply to information that is public, already known, independently developed or lawfully received from someone else.

These Terms apply while you use Remôtkey. You can cancel at any time [from your account settings / by contacting us; confirm]; cancellation takes effect at the end of the current billing period. We may suspend or end access if you materially breach these Terms and do not fix the breach within [30] days of notice, or immediately if needed to prevent harm or comply with law.

We provide Remôtkey with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided "as is". Location accuracy depends on devices, network coverage and settings outside our control, and geofenced times should be reviewed before you approve invoices.

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Each party's total liability under these Terms is limited to the fees you paid to Remôtkey in the 12 months before the claim. These limits do not apply to your payment obligations or to either party's indemnity obligations. [Confirm caps with counsel.]

You will defend and indemnify Remôtkey against third-party claims arising from Customer Data, your use of the service in breach of these Terms, or your failure to give notices or obtain consents required for location tracking. We will defend and indemnify you against third-party claims that the Remôtkey software infringes their intellectual property.

These Terms are governed by the laws of [State], without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in [State], unless the law requires otherwise.

We may update these Terms. We will post the new version here with a new date and, for material changes, notify account owners at least 30 days before they take effect. Continuing to use Remôtkey after that date means you accept the updated Terms.
